1. Introduction
These Terms of Service (“Terms”) govern access to and use of DEEPNS (the “Service”), a software solution that enables businesses to monitor and analyze their traffic-to-cash funnels.
DEEPNS is operated by [Legal Entity Name], a company incorporated in the United Kingdom, with its registered office at [Address] (“DEEPNS”, “we”, “us”).
By creating an account or using the Service, you (“Customer”, “you”) agree to be bound by these Terms. If you do not agree, you must not use the Service.
2. Description of the Service
DEEPNS provides analytics and monitoring tools designed to help digital businesses understand traffic, conversion, and payment performance.
The Service may include different plans or data layers, including:

DEEPNS does not process payments, act as a payment service provider, or provide financial, legal, or tax advice.
3. Account Registration
To use the Service, you must be legally capable of entering into a binding contract and provide accurate and complete information.
You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account.

You agree to use the Service only in compliance with applicable laws and these Terms.
You must not:
- Use the Service for unlawful or fraudulent purposes
- Attempt to reverse engineer, copy, or resell the Service
- Interfere with or disrupt the integrity or performance of the Service
5. Data Protection & Roles
For the purposes of UK GDPR and EU GDPR, you act as the data controller with respect to data collected about your end users, and DEEPNS acts as a data processor when processing such data on your behalf.
Data processing is governed by our Privacy Policy and Data Processing Agreement (DPA), which form an integral part of these Terms.
You are responsible for determining the lawful basis for data collection and for implementing appropriate disclosures and consent mechanisms where required.
6. Privacy-First & Consent-Based Features
Certain features of the Service may not require cookies or personal data (Essentials), while others may require cookies, identifiers, or consent mechanisms (Insights).
You acknowledge that compliance with applicable privacy laws remains your responsibility and that DEEPNS does not guarantee regulatory compliance for your specific use case.
7. Fees & Subscription
Some parts of the Service may be subject to fees. Where applicable, fees are billed in advance on a subscription basis and are non-refundable unless required by law.
We may change pricing with reasonable prior notice. Failure to pay may result in suspension or termination of access.
8. Availability & Changes
We aim to provide a reliable Service but do not guarantee continuous availability or error-free operation.
We may modify, suspend, or discontinue parts of the Service for maintenance, security, or legal reasons.
9. Intellectual Property
All rights, title, and interest in the Service, including software, documentation, and branding, remain the exclusive property of DEEPNS.
You are granted a limited, non-exclusive, non-transferable right to use the Service during your subscription.
10. Disclaimer of Warranties
The Service is provided “as is” and “as available”. To the maximum extent permitted by law, DEEPNS disclaims all warranties, including accuracy of data, fitness for a particular purpose, and expected outcomes.
11. Limitation of Liability
To the maximum extent permitted by law, DEEPNS shall not be liable for indirect, incidental, or consequential damages, including loss of revenue or business opportunities.
Our total liability shall not exceed the amount paid by you for the Service in the twelve (12) months preceding the event giving rise to the claim.
12. Termination
You may terminate your account at any time. We may suspend or terminate access if you breach these Terms or if required by law.
Upon termination, data handling will follow our Privacy Policy and DPA.
13. Governing Law & Jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, subject to mandatory EU consumer protection rules where applicable.
